Terms of Service Agreement

These Terms of Service constitute a legally binding agreement between you and Zekvra MB. Please read this document carefully and in its entirety before accessing or utilizing our digital wellness platform. Your continued use of our services signifies your acceptance of these terms and conditions.

1. Definitions and Interpretation

1.1 Service Provider: Zekvra MB, a limited liability company duly incorporated and operating under the laws of the Republic of Lithuania, with registered business operations located at Verkių g. 15-3, LT-08221 Vilnius, Lithuania (hereinafter referred to as "Company," "we," "us," or "our").

1.2 Platform: References to "Platform" encompass both our web-based interface accessible at www.hypneo.com and our mobile application branded as "Hypneo," available through authorized distribution channels.

1.3 User: Any individual who accesses, browses, or utilizes our Platform or Services (hereinafter referred to as "User," "you," or "your").

1.4 Services: The comprehensive digital wellness programs, audio-guided therapeutic sessions, mindfulness content, and related materials provided through our Platform.

2. Acceptance of Terms

2.1 By accessing our Platform, creating an account, or engaging with our Services, you hereby acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and any additional guidelines posted on the Platform.

2.2 If you do not agree with any provision contained herein, you must immediately discontinue use of our Platform and refrain from accessing our Services.

2.3 We reserve the right to modify, amend, or update these Terms at any time. Material changes will be communicated to users via email notification or prominent notice on the Platform. Your continued use following such notification constitutes acceptance of the revised terms.

3. Service Description and Scope

3.1 Digital Wellness Programs: Our Platform provides access to professionally developed audio-based therapeutic content, including but not limited to guided relaxation sessions, behavioral modification programs, stress management techniques, and wellness coaching materials.

3.2 Content Delivery: All Services are delivered exclusively in digital format. Upon subscription activation, content becomes immediately accessible through your account dashboard.

3.3 Entertainment and Educational Purpose: Important Disclaimer: The Services provided are intended for wellness enhancement, personal development, and educational purposes only. They do not constitute medical treatment, psychological therapy, or professional healthcare services of any kind.

3.4 Users are strongly advised to consult qualified healthcare professionals before making decisions based on content accessed through our Platform, particularly regarding medical, psychological, or behavioral health matters.

4. Subscription Plans and Pricing

4.1 Available Membership Options

We offer various subscription tiers with flexible billing cycles, including monthly, quarterly, semi-annual, and annual plans. Specific pricing details are displayed during the registration process and may be adjusted periodically with advance notice.

4.2 Payment Authorization

By subscribing to our Services, you authorize us to:

  • Charge the payment method you provide for the selected subscription fee
  • Securely store encrypted payment credentials for recurring billing purposes
  • Automatically process charges at the beginning of each billing cycle
  • Apply applicable taxes, surcharges, or fees as required by law

4.3 Automatic Renewal

4.3.1 Unless explicitly cancelled prior to the renewal date, your subscription will automatically renew for successive periods equivalent to your original subscription term.

4.3.2 Renewal charges will be processed using your stored payment method at the then-current standard rate, which may differ from promotional or introductory pricing.

4.3.3 You will receive notification of upcoming renewal charges at least seven (7) days prior to the renewal date.

4.4 Trial Periods

When promotional trial periods are offered, standard subscription rates will apply automatically upon trial expiration unless you cancel during the trial window. Trial benefits are limited to first-time subscribers and one trial per user.

4.5 Price Modifications

We reserve the right to adjust subscription pricing. Active subscribers will receive minimum thirty (30) days advance notice of price increases affecting their existing subscriptions. Price changes apply to new subscribers immediately upon implementation.

4.6 One-Click Purchase Feature

4.6.1 Feature Activation: By enabling the One-Click Purchase functionality, you consent to secure storage of your payment credentials and authorize streamlined transaction processing for future purchases without requiring additional authentication steps.

4.6.2 Security Protocol: This feature utilizes industry-standard encryption protocols. Your financial information remains securely with your payment processor; we retain only an encrypted authentication token that enables simplified checkout.

4.6.3 Critical Security Notice: Once One-Click Purchase is enabled, any person with access to your logged-in account can complete purchases with a single action. You acknowledge and accept full responsibility for:

  • Maintaining absolute confidentiality of your account password and login credentials
  • Logging out of your account when using shared or public devices
  • Monitoring all account activity and transaction history regularly
  • Immediately notifying us of any suspected unauthorized access

4.6.4 Sharing Prohibition: You must never share your account password, login credentials, or personalized promotional links containing One-Click Purchase capabilities with any third party, including family members, friends, or colleagues.

4.6.5 Limitation of Liability for Account Security: You expressly acknowledge and agree that:

  • Zekvra MB and all affiliated partners, payment processors, and service providers bear absolutely no responsibility or liability for any financial losses, unauthorized purchases, or data breaches resulting from your failure to maintain account security
  • If you share your password or credentials with any person, voluntarily or involuntarily, you assume complete liability for all resulting transactions and consequences
  • We are not obligated to reverse, refund, or compensate for transactions completed using your valid credentials, even if you claim such transactions were unauthorized
  • You waive any right to dispute charges or claim fraudulent activity if unauthorized access resulted from your negligent security practices

4.6.6 Best Practices: To protect your account:

  • Use a strong, unique password containing uppercase, lowercase, numbers, and special characters
  • Never save your password in browsers on shared computers
  • Enable two-factor authentication if available
  • Review your transaction history weekly
  • Immediately change your password if you suspect compromise
  • Never click suspicious links claiming to be from Hypneo

4.6.7 Users may disable One-Click Purchase at any time through account settings, though this does not affect existing subscription commitments.

5. User Eligibility and Obligations

5.1 Age Requirements

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater, to create an account and access our Services.

5.2 Account Accuracy

You represent and warrant that all information provided during registration is truthful, accurate, current, and complete. You agree to promptly update your account information to maintain its accuracy.

5.3 Payment Authorization

You confirm that any payment method used for subscription purchases is either owned by you or that you possess explicit authorization from the account holder to utilize said payment method.

5.4 Personal Use License

Services are licensed exclusively for personal, non-commercial use. Redistribution, resale, public performance, or commercial exploitation of our content is strictly prohibited.

5.5 Account Security and Password Protection

5.5.1 Your Security Obligations: You bear sole and exclusive responsibility for maintaining the confidentiality and security of your account credentials, including your username, password, and any multi-factor authentication methods.

5.5.2 Absolute Prohibition on Credential Sharing: You must NEVER share your password, login credentials, or account access with any other person under any circumstances. This prohibition applies to:

  • Family members, spouses, or domestic partners
  • Friends, colleagues, or business associates
  • Employees, contractors, or agents
  • Any third party regardless of relationship or trust level

5.5.3 Complete Liability for Account Activity: You are fully responsible and legally liable for ALL activities conducted through your account, including:

  • Purchases, subscriptions, and financial transactions
  • Content accessed, downloaded, or shared
  • Account settings modifications
  • Communications sent through the Platform
  • Data access, modifications, or deletions

5.5.4 Zero Liability for Security Breaches Due to User Negligence: ZEKVRA MB AND ALL PARTNERS, AFFILIATES, PAYMENT PROCESSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL LIABILITY FOR:

  • Financial losses resulting from shared credentials or compromised passwords
  • Unauthorized purchases made using your valid account credentials
  • Data breaches, privacy violations, or information disclosure resulting from inadequate password security
  • Identity theft, fraud, or financial harm arising from your failure to protect account access

5.5.5 Immediate Notification Requirement: You must notify us immediately at contact@hypneo.online if you:

  • Suspect unauthorized access to your account
  • Become aware of any security breach or credential compromise
  • Accidentally shared your password with another person
  • Notice suspicious account activity or unfamiliar transactions
  • Lose a device with saved login credentials

5.5.6 Password Requirements: You agree to use strong passwords that meet or exceed these minimum standards:

  • Minimum 10 characters in length
  • Combination of uppercase and lowercase letters
  • At least one numeric digit
  • At least one special character (!@#$%^&*)
  • Not previously used on other websites or services
  • Not containing personal information (names, birthdates, addresses)

5.5.7 We may implement additional security measures, including mandatory password changes, account verification procedures, or access restrictions if suspicious activity is detected.

5.6 Prohibited Conduct

Users shall not:

  • Use the Platform for unlawful purposes or in violation of applicable regulations
  • Attempt to reverse engineer, decompile, or extract source code from our applications
  • Circumvent security measures or access restrictions
  • Upload malicious code, viruses, or harmful software
  • Harass, threaten, or impersonate other users or entities
  • Scrape, harvest, or collect user data without authorization
  • Interfere with the proper functioning of the Platform

6. Intellectual Property Rights

6.1 Ownership

All content, features, functionality, audio recordings, visual designs, trademarks, service marks, logos, and other proprietary materials available through our Platform are the exclusive property of Zekvra MB or our licensed content providers and are protected by international copyright, trademark, and intellectual property laws.

6.2 Limited License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services solely for personal, non-commercial purposes.

6.3 Restrictions

You may not reproduce, distribute, modify, create derivative works, publicly display, republish, download (except for temporary caching), transmit, or otherwise exploit any portion of our Services without express written authorization.

6.4 Mobile Application License

Our mobile application license permits installation on a limited number of personal devices you own or control. Installation does not constitute ownership transfer or grant any rights beyond personal use as specified herein.

6.5 Enforcement

Violation of intellectual property provisions may result in immediate account suspension, service termination, and legal action to recover damages and pursue available remedies.

7. Subscription Management

7.1 Cancellation Procedure

You may cancel your subscription at any time by contacting our Customer Experience team at contact@hypneo.online with the subject line "Subscription Cancellation Request" and including your full name, registered email address, and account details.

7.2 Cancellation Processing

Cancellation requests are processed within seventy-two (72) hours of receipt. Your subscription remains active until the conclusion of your current billing period, with no additional charges thereafter.

7.3 Account Deletion

Account deletion can be initiated through the account settings section of our Platform. Note that deleting your account does not automatically cancel active subscriptions, which must be cancelled separately through proper channels.

7.4 Third-Party Platform Subscriptions

For subscriptions purchased through Apple App Store or Google Play Store:

  • All billing inquiries, modifications, and cancellations must be processed directly through the respective platform
  • We cannot modify, cancel, or refund subscriptions managed by third-party platforms
  • Cancellation procedures are governed by Apple or Google policies
  • Refund eligibility is determined solely by the platform provider

8. Refund Policy

8.1 Digital Content Acknowledgment

By subscribing, you acknowledge that Services are delivered in digital format and are considered fully provided once content becomes accessible through your account.

8.2 Standard Policy

Due to the immediate digital nature of service delivery, subscriptions are generally non-refundable once the billing period commences and content access is granted.

8.3 Satisfaction Guarantee

We offer a thirty (30) day satisfaction guarantee for new subscribers. If you engage with our core program content (minimum eight sessions) within the first thirty days and remain unsatisfied, contact contact@hypneo.online with verification of completed sessions for refund consideration.

8.4 Trial Period Refunds

Cancellations submitted during promotional trial periods will prevent future charges. If charged inadvertently following trial cancellation, contact us within fourteen (14) days at contact@hypneo.online for refund processing.

8.5 Exceptions

Refunds may be granted at our discretion for exceptional circumstances, including technical failures preventing service access, duplicate charges, or material service disruptions attributable to Company error.

8.6 EU Consumer Rights

In accordance with Directive 2011/83/EU, by commencing service use, European Union consumers expressly waive their right of withdrawal for digital content that has been made accessible.

9. Privacy and Data Protection

9.1 Data Collection

We collect, process, and store personal information in accordance with our Privacy Policy and applicable data protection regulations, including GDPR where applicable.

9.2 Security Measures

We implement industry-standard security protocols to protect user information from unauthorized access, alteration, disclosure, or destruction. However, no electronic transmission or storage system is completely secure.

9.3 Usage Analytics

Aggregated, anonymized usage data may be utilized for service improvement, research purposes, and statistical analysis. No personally identifiable information is included in such analytical reports.

9.4 Data Rights

Users retain rights to access, correct, delete, or port their personal data as outlined in our Privacy Policy. Exercise these rights by contacting contact@hypneo.online.

10. Service Availability and Technical Requirements

10.1 Reasonable Access

While we strive to maintain continuous Platform availability, we do not guarantee uninterrupted or error-free access. Periodic maintenance, updates, and unforeseen technical issues may temporarily affect service availability.

10.2 Device Compatibility

Users are responsible for ensuring their devices meet minimum technical specifications for Platform access. We do not warrant compatibility with all devices, operating systems, or browsers.

10.3 Updates and Modifications

We reserve the right to modify, update, enhance, or discontinue features, functionality, or content at any time without prior notice. Significant changes affecting core service functionality will be communicated to active subscribers.

10.4 Third-Party Dependencies

Our Platform may rely on third-party services, APIs, or infrastructure. We are not liable for service disruptions caused by third-party provider failures or limitations.

11. Disclaimers and Limitations of Liability

11.1 Medical Disclaimer

The services provided are not medical treatment, psychological therapy, or professional healthcare services. Content is provided for wellness enhancement and educational purposes only.

Users should consult qualified healthcare professionals before making health-related decisions. Our Services are not intended to diagnose, treat, cure, or prevent any medical or psychological condition.

11.2 No Warranties

Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for particular purpose, non-infringement, or accuracy.

11.3 Results Disclaimer

Individual results and experiences may vary significantly. We make no guarantees regarding specific outcomes, benefits, or effects from using our Services.

11.4 Limitation of Liability

To the maximum extent permitted by applicable law, Zekvra MB, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Platform or Services.

This includes but is not limited to damages for loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

11.5 Maximum Liability Cap

In jurisdictions where liability limitations are permitted, our total aggregate liability shall not exceed the amount you paid for Services during the twelve (12) months preceding the event giving rise to liability.

11.6 Third-Party Links

Our Platform may contain links to external websites or resources. We do not endorse and are not responsible for the content, accuracy, practices, or availability of third-party sites. Access third-party resources at your own risk.

11.7 User-Generated Content

Any testimonials, reviews, or success stories presented may not be representative of typical results. Individual experiences vary based on numerous factors beyond our control.

12. Dispute Resolution and Governing Law

12.1 Governing Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to conflict of law provisions, except where consumer protection laws of your residence mandate application of local regulations.

12.2 Complaint Procedure

For service-related complaints or concerns, contact our Customer Experience team at contact@hypneo.online. We endeavor to address all complaints promptly and fairly through good-faith negotiation.

12.3 Alternative Dispute Resolution

European Union residents may submit complaints to their local consumer protection authority or utilize the EU Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr for alternative resolution procedures.

12.4 Arbitration

For disputes that cannot be resolved through informal negotiation, parties agree to pursue binding arbitration in accordance with Lithuanian arbitration procedures, except where prohibited by applicable consumer protection laws.

12.5 Class Action Waiver

To the extent permitted by law, disputes shall be resolved individually. You waive rights to participate in class action lawsuits or class-wide arbitration against the Company.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplementary guidelines posted on the Platform, constitute the entire agreement between you and Zekvra MB regarding use of our Services, superseding all prior agreements, communications, or understandings.

13.2 Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be explicit and in writing to be effective.

13.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations to affiliates, subsidiaries, or successors in connection with mergers, acquisitions, or business transfers.

13.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, governmental actions, or infrastructure failures.

13.6 Notices

All legal notices shall be provided via email to the address associated with your account or by posting prominent notice on the Platform. You are responsible for maintaining current contact information.

13.7 Survival

Provisions concerning intellectual property rights, disclaimers, liability limitations, indemnification, and dispute resolution shall survive termination of these Terms and discontinuation of Services.

13.8 Language

These Terms are drafted in English. Translations may be provided for convenience, but in case of discrepancies, the English version shall prevail.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zekvra MB, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Your unauthorized use of the Platform or Services
  • Your negligent or willful misconduct
  • Any content or information you submit, post, or transmit through the Platform

15. Termination

15.1 Termination by User

You may terminate your relationship with us at any time by cancelling your subscription and discontinuing use of the Platform.

15.2 Termination by Company

We reserve the right to suspend or terminate your account and access to Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Requests by law enforcement or government agencies
  • Extended periods of inactivity
  • Technical or security concerns

15.3 Effect of Termination

Upon termination, your right to access and use the Platform and Services immediately ceases. Provisions concerning intellectual property, disclaimers, liability limitations, and dispute resolution survive termination.

These Terms were last updated on February 16, 2026. We encourage periodic review of these Terms to stay informed of any modifications. The "Effective Date" at the top of this document indicates the most recent revision.

Material changes will be communicated via email notification to your registered address or through prominent Platform notice. Continued use following notification constitutes acceptance of revised Terms.
