Terms of Service

These Terms of Service constitute a legally binding agreement between you and Zekvra MB. Please read this document carefully before accessing or using our platform. Your continued use of our services signifies your acceptance of these terms.

01 Definitions and Interpretation

1.1 Service Provider: Zekvra MB, a limited liability company incorporated under the laws of the Republic of Lithuania, with registered address at Verkių g. 15-3, LT-08221 Vilnius, Lithuania (referred to as "Company," "we," "us," or "our").

1.2 Platform: Our web-based interface at www.hypneo.com and our mobile application branded as "Hypneo," available through authorised distribution channels.

1.3 User: Any individual who accesses, browses, or utilises our Platform or Services (referred to as "User," "you," or "your").

1.4 Services: The digital wellness programs, audio-guided sessions, mindfulness content, and related materials provided through our Platform.

02 Acceptance of Terms

2.1 By accessing our Platform or engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any additional guidelines posted on the Platform.

2.2 If you do not agree with any provision herein, you must immediately discontinue use of our Platform.

2.3 We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform. Your continued use constitutes acceptance of the revised terms.

03 Service Description and Scope

3.1 Digital Wellness Programs: Our Platform provides access to professionally developed audio-based therapeutic content, including guided relaxation, behavioural modification programs, stress management techniques, and wellness coaching materials.

3.2 Content Delivery: All Services are delivered exclusively in digital format. Upon subscription activation, content becomes immediately accessible through your account dashboard.

Important Disclaimer: The Services are intended for wellness enhancement, personal development, and educational purposes only. They do not constitute medical treatment, psychological therapy, or professional healthcare services of any kind. Consult qualified healthcare professionals before making decisions based on our content.

04 Subscription Plans and Pricing

4.1 Available Membership Options

We offer various subscription tiers with flexible billing cycles, including monthly, quarterly, semi-annual, and annual plans. Pricing is displayed during registration and may be adjusted periodically with advance notice.

4.2 Payment Authorisation

By subscribing, you authorise us to:

  • Charge your payment method for the selected subscription fee
  • Securely store encrypted payment credentials for recurring billing
  • Automatically process charges at the start of each billing cycle
  • Apply applicable taxes or surcharges as required by law

4.3 Automatic Renewal

4.3.1 Unless cancelled prior to the renewal date, your subscription renews automatically for successive periods matching your original term.

4.3.2 Renewal charges are processed at the then-current standard rate, which may differ from promotional pricing.

4.3.3 You will receive notification of upcoming renewals at least seven (7) days in advance.

4.4 Trial Periods

Standard subscription rates apply automatically upon trial expiration unless cancelled during the trial window. Trial benefits are limited to first-time subscribers.

4.5 Price Modifications

Active subscribers receive a minimum of thirty (30) days advance notice of price increases. Changes apply to new subscribers immediately upon implementation.

4.6 One-Click Purchase

4.6.1 By enabling One-Click Purchase, you consent to secure storage of your payment credentials and authorise streamlined transaction processing without additional authentication.

4.6.2 This feature uses industry-standard encryption. We retain only an encrypted token; your full financial details remain with your payment processor.

Critical Security Notice: Once One-Click Purchase is enabled, any person with access to your logged-in account can complete purchases with a single action. You accept full responsibility for maintaining account security.

Zekvra MB and all affiliated partners bear no responsibility for financial losses, unauthorised purchases, or data breaches resulting from your failure to maintain account security. You waive any right to dispute charges if unauthorised access resulted from your negligent security practices.

4.6.7 You may disable One-Click Purchase at any time through account settings.

05 User Eligibility and Obligations

5.1 Age Requirements

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is greater), to access our Services.

5.2 Account Accuracy

All information provided during registration must be truthful, accurate, current, and complete. You agree to promptly update your account to maintain accuracy.

5.3 Payment Authorisation

You confirm that any payment method used is owned by you or that you have explicit authorisation from the account holder to use it.

5.4 Personal Use

Services are licensed exclusively for personal, non-commercial use. Redistribution, resale, or commercial exploitation of our content is strictly prohibited.

5.5 Account Security

You bear sole responsibility for maintaining the confidentiality of your account credentials. You must never share your password with any other person under any circumstances.

Zekvra MB expressly disclaims all liability for financial losses, unauthorised purchases, data breaches, or identity theft arising from inadequate password security or credential sharing.

Notify us immediately at contact@hypneo.online if you suspect unauthorised access, credential compromise, or suspicious account activity.

5.6 Prohibited Conduct

  • Using the Platform for unlawful purposes
  • Attempting to reverse engineer or decompile our applications
  • Circumventing security measures or access restrictions
  • Uploading malicious code, viruses, or harmful software
  • Harassing, threatening, or impersonating other users
  • Scraping or harvesting user data without authorisation
  • Interfering with the proper functioning of the Platform

06 Intellectual Property Rights

6.1 Ownership

All content, audio recordings, visual designs, trademarks, logos, and proprietary materials are the exclusive property of Zekvra MB or our licensed content providers, protected by international copyright and intellectual property laws.

6.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Services solely for personal, non-commercial purposes.

6.3 Restrictions

You may not reproduce, distribute, modify, publicly display, or commercially exploit any portion of our Services without express written authorisation.

6.4 Enforcement

Violations may result in immediate account suspension, service termination, and legal action to recover damages.

07 Subscription Management

7.1 Cancellation

Cancel at any time by emailing contact@hypneo.online with the subject "Subscription Cancellation Request," including your full name, registered email, and account details.

7.2 Processing

Cancellations are processed within seventy-two (72) hours. Your subscription remains active until the end of the current billing period with no additional charges thereafter.

7.3 Account Deletion

Deleting your account does not automatically cancel active subscriptions, which must be cancelled separately.

7.4 Third-Party Platform Subscriptions

For subscriptions purchased via Apple App Store or Google Play, all billing modifications and cancellations must be handled directly through the respective platform.

08 Refund Policy

8.1 Digital Content

By subscribing, you acknowledge that Services are delivered digitally and are considered fully provided once content becomes accessible.

8.2 Standard Policy

Subscriptions are generally non-refundable once the billing period commences and access is granted.

8.3 Satisfaction Guarantee

New subscribers may request a refund within thirty (30) days if they engage with a minimum of eight core sessions and remain unsatisfied. Contact contact@hypneo.online with session verification.

8.4 Trial Refunds

If charged inadvertently following trial cancellation, contact us within fourteen (14) days for refund processing.

8.5 EU Consumer Rights

In accordance with Directive 2011/83/EU, EU consumers expressly waive their right of withdrawal for digital content that has been made accessible.

09 Privacy and Data Protection

We collect and process personal information in accordance with our Privacy Policy and applicable data protection regulations, including GDPR. We implement industry-standard security protocols to protect user data. Users retain rights to access, correct, delete, or port their personal data — exercise these by contacting contact@hypneo.online.

10 Service Availability

We strive for continuous Platform availability but do not guarantee uninterrupted access. Periodic maintenance, updates, and unforeseen technical issues may temporarily affect availability. We are not liable for disruptions caused by third-party provider failures.

11 Disclaimers and Limitations of Liability

Medical Disclaimer: Our Services are not medical treatment, psychological therapy, or professional healthcare. Content is for wellness and educational purposes only. Consult qualified healthcare professionals before making health-related decisions.

Services are provided "as is" without warranties of any kind. Individual results vary; we make no guarantees regarding specific outcomes.

To the maximum extent permitted by applicable law, Zekvra MB shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the amount you paid during the twelve (12) months preceding the event giving rise to liability.

12 Dispute Resolution and Governing Law

These Terms are governed by the laws of the Republic of Lithuania. For complaints, contact contact@hypneo.online. EU residents may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Unresolved disputes are subject to binding arbitration under Lithuanian procedures.

13 Miscellaneous Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zekvra MB. If any provision is deemed unenforceable, it shall be modified to the minimum extent necessary; remaining provisions remain in full effect. These Terms are drafted in English; in case of translation discrepancies, the English version prevails.

14 Indemnification

You agree to indemnify and hold harmless Zekvra MB, its officers, directors, employees, and agents from all claims, losses, and expenses arising from:

  • Your violation of these Terms or any applicable law
  • Infringement of any third-party rights
  • Your unauthorised use of the Platform
  • Your negligent or wilful misconduct

15 Termination

You may terminate at any time by cancelling your subscription. We reserve the right to suspend or terminate accounts immediately for breach of Terms, fraudulent activity, legal requests, or security concerns. Upon termination, your right to access the Platform ceases immediately.

16 Customer Support

Our team is available via contact@hypneo.online, in-app messaging, or the website contact form. We aim to respond to all inquiries within forty-eight (48) business hours.

17 Accessibility

We are committed to ensuring our Platform is accessible to users with disabilities. Contact contact@hypneo.online if you require accommodations or encounter accessibility barriers.

18 Updates to Terms

These Terms were last updated on February 16, 2026. Material changes will be communicated via email or prominent Platform notice. Continued use following notification constitutes acceptance of revised Terms.
